Entity Formation
Although entity formation is typically encountered in the start up stage, a business constantly needs to examine its legal structure. We analyze the practical, business and corporate law, and tax consequences of a client’s structure and determine whether it is best suited to achieving the business owner’s goals.
As part of the entity formation process, we regularly draft, negotiate, and review agreements among the business owners. This includes assisting in the negotiation and documentation of buy sell provisions and governance provisions in corporations and limited liability companies.
